1. Who we are

These Terms of Service ("Terms") are a binding agreement between you and Witty English ("Witty English", "we", "us", "our"), the operator of the Wordly vocabulary-learning service (the "Service"). By creating an account, purchasing a subscription, or otherwise using the Service, you agree to these Terms.

2. Acceptance and eligibility

By continuing to use the Service you accept these Terms. You must be of legal age in your jurisdiction to enter into a binding contract; if you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

3. The Service

Wordly is a spaced-repetition vocabulary tool that lets you create decks, generate AI-assisted content (definitions, example sentences, mnemonics), and practice through quizzes and a "Sentence Lab" writing check. We provide the Service on an as-available basis and may add, change, or remove features at any time.

4. Accounts and account security

You are responsible for keeping your account credentials confidential and for all activity under your account. You must provide accurate registration information and keep it current. Notify us promptly of any unauthorized use.

5. Acceptable use

You must not misuse the Service. In particular, you agree not to:

  • use the Service for any unlawful, fraudulent, or deceptive purpose;
  • send spam or unsolicited messages, or attempt to defraud other users;
  • infringe anyone's intellectual property, privacy, or other rights;
  • upload, generate, or distribute malware, viruses, or harmful code;
  • probe, scan, scrape, or otherwise interfere with the Service's security or availability, or reverse engineer or attempt to derive source code from the Service;
  • resell, redistribute, or attempt to circumvent technical limits, quotas, or paid features.

6. AI-generated content

Wordly uses AI models to help generate definitions, examples, mnemonics, and feedback. You are responsible for your prompts, for how you use the outputs, for verifying their accuracy before relying on them, and for having the rights to any content you submit. Do not use the Service to generate illegal content, deepfakes, hate speech, malware, or content designed to jailbreak AI systems. Outputs may be inaccurate or incomplete and are not a substitute for professional advice (legal, medical, financial, or otherwise). We may filter, refuse, remove, or restrict content and outputs, and may suspend accounts for repeated or serious violations. If you believe content on the Service infringes your rights, contact us to request a takedown.

7. Your content

You retain ownership of the decks, words, and sentences you create. You grant Witty English a limited, worldwide, non-exclusive license to host, store, and process this content solely to operate and provide the Service to you.

8. Our intellectual property

Witty English retains all rights, title, and interest in the Service, including its software, design, branding, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan for personal or internal business use.

9. Payments, subscriptions, and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Wordly's paid plan is a one-time purchase that unlocks the paid features for the lifetime of the account — there is no recurring subscription, no automatic renewal, and no repeat billing. Payment processing, billing, applicable taxes, invoicing, and refunds are governed by Paddle's Buyer Terms. Please review our Refund Policy for our money-back guarantee.

10. Service availability and warranties

We work hard to keep the Service running, but we do not guarantee that it will be uninterrupted, timely, secure, or error-free. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, Witty English will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the fees you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability for fraud, death, personal injury, or any other liability that cannot be excluded by law.

12. Indemnity

You agree to indemnify and hold Witty English harmless from any claims or damages arising out of your content, your unlawful use of the Service, or your breach of these Terms.

13. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, for material breach of these Terms, non-payment, suspected security or fraud risk, or repeated or serious violations of our policies. On termination, your right to use the Service ends immediately; we may retain or delete your content in accordance with our Privacy Notice.

14. Changes to the Service or Terms

We may update the Service or these Terms from time to time. If we make material changes to these Terms, we will let you know by a reasonable means (for example, an in-app notice or email). Continued use after the effective date constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Witty English is established, without regard to conflict-of-laws rules. Disputes will be brought in the competent courts of that jurisdiction, unless otherwise required by mandatory consumer-protection law.

16. Assignment and force majeure

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control.
